Under the restructure, up to 60 stores will be targeted for conversion to franchise stores over a three-year period. 18 stores will be targeted for conversion in FY17 with the majority to be converted in H2 FY17. The restructuring will deliver ongoing EBITDA improvement and result in an improved balance sheet position. Godfreys will continue to own and operate large format ‘superstores’ in key metropolitan markets and major regional cities as corporate stores, while the majority of new store openings will be undertaken as franchises.

Commenting, Godfreys Chairman, Mr Rod Walker, said: “Following an internal strategic review to address continued weak performance in the business, the Board has concluded that re-balancing the store portfolio with a bias to franchise stores is the best option to place the business on a solid footing for long term growth.

“Over the next three years the majority of our stores by number will become franchise stores with a particular focus on smaller and regional locations. This streamlining of our store portfolio will enable greater management focus on our more profitable larger format stores. It will also deliver medium and long term improvements to both profitability and the balance sheet,” he said.

Also commenting, Godfreys CEO Mr John Hardy, said: “Godfreys has a long and successful history operating the franchise model having implemented the first franchise store in the mid-1980s. Our franchise stores have a track record of outperformance, underpinned by the fundamental driver of small business ownership, particularly in regional areas where local knowledge and relationships are a major element of success.

“Refocussing the business on a franchise concept will enable Godfreys to accelerate the current business improvement program. We expect strong interest from within our existing team to become franchisees,” he said.

Financial Impact and forecast The conversion of approximately 18 company stores to franchise stores in FY17 will deliver immediate cash flow benefits by lowering the overall cost of doing business as well as additional franchise fees; a reduced requirement for stock; and reduced capex requirements. The balance sheet will be strengthened through a reduction in inventory and fixtures and fittings. The Board will also conduct an assessment of the carrying value of intangible assets as a result of the strategic review. The positive financial impacts of this strategy will increase as more stores are converted, allowing additional benefits to flow through. Implementation An internal implementation team, led by current CFO, Bernie Bicknell has already commenced work to deliver the restructuring strategy and will be subject to a quarterly review by the Board.

Mr Bicknell will transition from the role of CFO to lead the implementation project on a full time basis from March, 2017. The implementation team is focussed on improving franchisee recruitment and induction processes, upgrading the marketing program to attract franchisees and improving support functions, including dedicated customer service lines for franchisees. Rod Walker added: “The Board has full confidence in the operational improvement plan led by the Company’s CEO John Hardy and underpinned by a renewed focus on franchise stores. In addition, John Hardy and his team will continue to focus on delivering the core operational turnaround in the areas of marketing and customer service.”

About Godfreys Godfreys Group (ASX: GFY) listed on the ASX in 2014 and is Australia’s largest specialty retailer of domestic and commercial floor care and associated cleaning products, offering an extensive range of company-owned brands, an exclusively licensed brand (Hoover) and a number of third party brands. Godfreys is regarded by Australians as the ‘experts’ in vacuum cleaners and cleaning products, accommodating consumers at all price points. Godfreys has 450 permanent employees, with its head office and a company-operated warehouse located in Victoria. Godfreys’ multichannel offering is distributed via 224 branded retail stores located in standalone ‘superstores’, and shopping centres and retail shopping strips.

Over $30,000 raised for the MRC Charitable Foundation

Foley Durham has a strong heritage appointing senior management with the Melbourne Racing Club and were proud to support the MRC Foundation Charity Golf Day at Kingston Heath Golf Club on Tuesday 19 April 2016. The shake-ups and removals of c-suite level talent are generally more savage when a new boss arrives from outside.

From my experience appointing CFO’s and CEO’s in both PE backed and ASX listed companies, an externally appointed CEO will in some cases bring their own CFO and other c-suite level executives into the business. There are many current examples of this in the March quarter 2016. I believe that with greater media scrutiny on company share price performance in conjunction with executive remuneration and alignment to meeting satisfactory shareholder returns, the pressure is intense for the top executives as well as for the Board. We all know well that the share market can be brutal when the company misses its earnings guidance for half year and full year reporting. Some may suggest that by removing a CEO or CFO as a scapegoat to restore investor credibility is the best option.

However, there is evidence to suggest there is some hope that the churn rate of Australian CEOs may be set to improve in coming years. According to Strategy &, leading Australian companies saw 42 CEO turnovers in 2014 – almost 35 percent more CEO turnover events relative to leading global enterprises. Whilst Australian companies have shown an improvement in the ability to plan succession for the top job against the long run Australian average, Australian boards are still being forced into CEO-separation more than global boards.

The incoming class of CEOs in top Australian companies in recent years was amongst the youngest globally, with a median age of 51. They were also represented by the most regionally diverse set of leaders, more consistently engaged from outside of Australia, than leaders appointed into top global firms. The incoming class also consisted of the greatest proportion of females globally.

No doubt there will be continued churn in corporate Australia in 2016 which will only create exceptional career opportunities for those senior executives that are patient and prepared to back themselves by taking on challenges and getting out of their comfort zone. Managing your career on your terms is far more attractive than being pushed!

Cycling is not just a big business, it's life changing...

As an avid cyclist, riding my bike along Beach Road (Melbourne) with my close mates has been a morning ritual before a 7am coffee and a busy day in my Collins Street office. In May 2015 I experienced a cyclists worst nightmare. My mate and I were hit from behind without warning, at 65kph, by a driver not watching the road. The driver was charged and recently found guilty of ‘careless’ driving and subsequently lost his license for 18 months and was fined $2,000. A small slap on the wrist for an action that nearly killed the two of us.

This incident changed my life. A few months later I resigned after 8 years in another firm to establish executive search & board advisory firm Foley Durham. With a young familiy, taking a leap of faith and backing myself was required. The ride so far has been extremely rewarding.

On the eve of the 2016 Santos Tour Down Under there are more sponsorship dollars being pumped into cycling than any other sport in Australia.

Cycling analysts say the average annual cost of running a team in the world famous Tour de France is $15 million. It's estimated to be costing Jerry Ryan founder of Jayco about $12 million a year, plus money from Orica Limited. Orica operates in 50 countries and is counting on cashing in on the cycling boom.

Many corporates have aspirations of building their brand and aligning their image with high performance teams that provide global profile in a growing sport. Cycling has such a great ability to cut through. And no doubt Orica GreenEdge will be out to have success on the podium this year in the TDU in Adelaide.

As the 2016 year commences I am recently back on a new bike and keen to stay safe and fit for what will be an exciting year!

Private Equity FY15 highlights

According to Deloitte Access Economics, business backed by Private Equity contributes more than four percent, or $59 billion, to Australia’s annual gross domestic product and directly or indirectly employs more than 500,000 people. Given the upheaval experienced in a number of developed markets around the world over recent years, this is a track record of which many others around the world are envious.

Private equity-backed initial public offerings (IPOs) returned over ten per cent on average and 16.9 per cent on a weighted average basis in 2013-14, outperforming other IPOs by three per cent and four per cent respectively.
